OFFICIAL RULES
NO PURCHASE NECESSARY TO ENTER OR WIN

DESCRIPTION OF THE CONTEST: The LogMeIn Video Contest ("Contest") is intended to promote LogMeIn remote connectivity software. Prizes will be awarded to those who submit the most creative and inspiring videos describing how they use and benefit from LogMeIn products and what they like best about them. Winners will be determined by the judges in their sole discretion and in accordance with these Official Rules.

Submission of any entry in the Contest constitutes Entrant's full and unconditional agreement to an acceptance of these Official Rules.

SPONSOR AND ADMINISTRATOR: The Sponsor of this Contest is LogMeIn, Inc., 500 Unicorn Park, Woburn, MA 01801 ("Sponsor"). The Contest is administered by Overdrive Interactive, 38 Everett Street, Alston, MA 02134 ("Administrator").

ELIGIBILITY: This Contest is open only to individuals who submit original videos that they have personally created and submitted for consideration in this Contest as described below. Entrants must be at least 18 years of age at the time of entry and a legal resident of the United States of America (excluding Puerto Rico and other U.S. territories and possessions) for the duration of the Contest. Void where prohibited by law. Persons in any of the following categories are not eligible to participate or win the prize(s) offered: (a) Employees or agents of Sponsor or Administrator, their parent companies, affiliates and subsidiaries, participating advertising and promotion agencies, application development partner companies, and prize suppliers; or (b) immediate family members (defined as parents, children, siblings and spouse, regardless of where they reside) and/or those living in the same household as any person in (a) above. You must have access to the Internet and a valid email address in order to enter or win.

CONTEST PERIOD: This contest begins at 12:00 A.M. Eastern Time on August 20, 2009 and ends at 11:59 P.M. Eastern Time on October 28, 2009 ("Contest Period"). Entrants may submit videos at any time during the Contest Period.

SUBMITTING ENTRIES: Create a video that depicts how you use a LogMeIn product (including LogMeIn Free®, LogMeIn Pro®, LogMeIn IT Reach®, LogMeIn Rescue®, LogMeIn Hamachi®, LogMeIn Backup® or LogMeIn Ignition™), how it has benefitted you, or what you like best about it. Each Entry should be original, creative, and appeal to a broad audience. Once the video is completed, visit http://www.FreeMeUpGiveaway.com/video and follow the links and instructions to submit the video for the Contest. Complete the registration, including a valid email and home mailing address (P.O. Boxes are not permitted).

Each video will be considered one "Entry." You may submit one (1) Entry per person, household or e-mail address during the Contest Period. In the event of a dispute regarding who submitted a particular Entry, the Entry will be deemed submitted by the authorized and registered account holder of the e-mail account. Sponsor is not responsible for lost, late, delayed, damaged, unintelligible, incomplete or otherwise defective Entries, for those who cannot access the Internet or cannot click-through for any period of time or if entry information is not captured correctly, or for any technical, hardware, software, telephone, Internet, virus contamination, network, human error, electronic malfunctions, or any other problems; and for delay, failure or malfunction for any reason. Incomplete or corrupted entries are void and will not be considered.

In all Entries, text and spoken words in all Entries must be predominantly in English. Entries

• must be in Windows Media Video (WMV) or QuickTime (MOV) format,
• must not exceed two (2) minutes in duration, and
• must not exceed ten (10) MB in size.

By uploading your submission, you agree that your submission conforms to these Official Rules, and that Sponsor, in its sole discretion, may remove and disqualify any noncompliant submission. Only original submissions that are personally created will be eligible to win.

CONTENT RESTRICTIONS: Entries must meet the following eligibility standards:

• The video must not contain material that violates or infringes another's rights, including but not limited to privacy, publicity or intellectual property rights, or that constitutes copyright infringement;
• The video must not disparage Sponsor, administrator or any other person or party affiliated with the promotion and administration of the Contest;
• The video must be relevant to Sponsor's business as described above;
• The video must not contain brand names or trademarks, or logos, other than Sponsor's marks, which entrant has a limited license to use for the sole purpose of creating and uploading a video in this Contest;
• The video must not contain music, footage, images, photos or artwork not created by entrant;
• The video must not contain material that is inappropriate, lewd, pornographic, indecent, obscene hateful, tortious, defamatory, slanderous or libelous;
• The video must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; and
• The video must not contain material that is unlawful, in violation of or contrary to the laws or regulations in any jurisdiction where video is created.
• NG: Winners will be determined according to the process set forth below:
• nitial Judging: A panel of judges determined by Sponsor in its sole discretion will select eligible Entries (the "Finalists") from among all eligible Entries based on, among other things, the following criteria ("Judging Criteria"):
• Creativity (rated on a scale of 1-10)
• Concept (rated on a scale of 1-10)
• Information (rated on a scale of 1-10)
• Overall presentation (rated on a scale of 1-10)

Sponsor reserves the right to select any number of Finalists. Sponsor reserves the right, in its sole discretion, to disqualify a potential Finalist based on the eligibility criteria stated within these Official Rules.

(b) Voting Phase: During the Voting Phase, the Finalists' videos will be posted from time to time in Sponsor's discretion in an online gallery for public voting at http://www.FreeMeUpGiveaway.com/video. Voting will be open for the duration of the Contest Period and the single winner will be determined at the conclusion of the Contest Period. There will be only one winner to the Contest. Any visitor to the FreeMeUp site aged 13 or older may vote for any eligible Finalist. Limit one vote per calendar day (Eastern Time) per email address. Finalists are prohibited from obtaining votes by any fraudulent or inappropriate means, including, without limitation, offering prizes or other inducements to members of the public, as determined by Sponsor in its sole discretion. Subject to the Finalist's compliance with these Official Rules, the one (1) Finalist whose Entry receives the highest number of valid votes during the Voting Phase will be deemed the winner and will win the prize described in the section entitled "PRIZES AND APPROXIMATE RETAIL VALUES." There will be only one winner and one prize. In the event of a tie, the entrant whose video received the highest score in the Creativity Category, as determined by the judges in their sole discretion, will be deemed the applicable prize winner. Sponsor reserves the right to award fewer than the stated number of prizes, if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Entries. Sponsor also reserves the right, in its sole discretion, to select an alternate winner should the voting appear to have been tampered with or manipulated in any way.

For the Voting Phase: Multiple voters are not permitted to share the same email address. Any attempt by any voter to submit more than the stated number of votes by using multiple/different email addresses, identities or any other method will void that voter's Submission(s) (if any) and votes and he/she will be disqualified from further participation in the Contest. Voting by automated means is prohibited and all such votes will be void.

Counting of votes will be overseen by the judges. Decisions of the judges are final and binding in all respects. Winners will be notified by email and or phone and or mail at Sponsor's sole discretion.

PRIZES AND APPROXIMATE RETAIL VALUES:

The Contest Prize winner will receive an iPhone ® 3GS with a year of data service (retail value of $599.00). Only one of these prizes will be awarded to one winner. In addition, Sponsor will provide the first 1,000 entrants with a LogMeIn t-shirt. Sponsor reserves the right to substitute a similar prize of equal or greater value or a cash equivalent (including a gift card) in its sole discretion. Prizes are nontransferable. All federal, state and/or local taxes, including any withholding or reporting requirements, and other expenses associated with the acceptance and use of any prize are the sole responsibility of the winner. PRIZES ARE PROVIDED "AS IS." SPONSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED WITH RESPECT THERETO, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. Any other expenses not specified herein are the sole responsibility of the winner.

CONDITIONS OF PARTICIPATION.

By submitting an Entry, you agree to:

• Grant Sponsor an irrevocable, royalty-free, worldwide right and license to: (i) use, publish, review, assess, test and otherwise analyze and judge your video in whole or in part and all its content in connection with this Contest; (ii) modify your video and all its content, to publish it online for the purposes of voting; (iii) publish, distribute and otherwise use your video, and all into content, in whole or in part, in connection with the promotion of this Contest in all media (now known or later developed) without attribution or compensation to the entrant, his/her successors or assigns, or any other entity, unless prohibited by law; and (iv) use and publish your name and likeness and the name and likeness of all individuals included in the video, including, but not limited to your image, voice, actions, appearance and biological information; in any and all media now known or hereafter devised, worldwide in perpetuity in or in connection with the Contest, and in television, radio, Internet, print and other advertisements and promotions for the Contest;
• Agree to sign any necessary documentation that may be required for Sponsor and its designees to make use of the rights you granted above;
• Understand and acknowledge that Sponsor and/or its designees may have developed or commissioned materials similar or identical to your video and you waive any claims you may have resulting from any similarities to your entry;
• Understand that Sponsor and/or its designees cannot control the incoming information you will disclose to our representatives in the course of entering, or what our representatives will remember about your entry. You also understand that Sponsor and/or its designees will not restrict work assignments of representatives who have had access to your entry. By entering this Contest, you agree that use of information in Sponsor and/or its designees representatives' unaided memories in the development or deployment of products or services does not create liability for Sponsor and/or its designees under this agreement or copyright or trade secret law;
• Understand that you will not receive any compensation or credit for use of your entry, other than what is described in these Official Rules; and
• Understand that Sponsor and/or its designees cannot control, and are not responsible for any unauthorized use of your video by visitors to web sites where Sponsor and/or its designees publish your entry.

Sponsor reserves the right to substitute a prize for an item of equal or greater value in the event all or part of a prize becomes unavailable. Prizes are awarded without warranty of any kind from Sponsor, express or implied, without limitation, except where this would be contrary to federal, state, provincial, or local law or regulation. All federal, state, provincial and local laws and regulations apply. Submission of entry into this Contest deems that entrants agree to be bound by the terms of these Official Rules and by the decisions of Sponsor, which are final and binding on all matters pertaining to this Contest. Return of any prize/prize notification may result in disqualification and selection of an alternate winner. Any potential winner who cannot be contacted within 15 days of first attempted notification will forfeit his/her prize and an alternate may be selected. Potential prize winner(s) may be required to sign and return a Declaration of Eligibility/Liability & Publicity Release within 30 days following the date of first attempted notification. Failure to comply within this time period may result in disqualification and selection of an alternate winner. Acceptance of the prize constitutes permission for, and winners consent to, Sponsor and its agencies to use a winner's name and/or likeness and entry for advertising and promotional purposes without additional compensation, unless prohibited by law. To the extent permitted by law, entrants agree to hold Sponsor, its parent, subsidiaries, agents, directors, officers, employees, representatives and assigns harmless from any injury or damage caused or claimed to be caused by participation in the Contest and/or use or acceptance of any prize won, except to the extent that any death or personal injury is caused by the negligence of the Sponsor. Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Contest or in the announcement of the prize. A participant may be prohibited from participating in this Contest if, in the Sponsor's sole discretion, it reasonably believes that the participant has attempted to undermine the legitimate operation of this Contest by cheating, deception, or other unfair playing practices or annoys, abuses, threatens or harasses any other participants, the Sponsor or associated agencies. In the event a winner/potential winner's employer has a policy which prohibits the awarding of a prize to an employee, the prize will be forfeited and an alternate winner will be selected.

NO RECOURSE TO JUDICIAL OR OTHER PROCEDURES: To the extent permitted by law, the rights to litigate, to seek injunctive relief or to make any other recourse to judicial or any other procedure in case of disputes or claims resulting from or in connection with this contest are hereby excluded, and any participant expressly waives any and all such rights. Participants agree that these Official Rules are governed by the laws of the Commonwealth of Massachusetts, USA.

Except where prohibited by law, by entering this Contest, each entrant hereby waives any right he/she may have to a trial by jury and agrees that any and all disputes, claims, actions and causes of action arising out of or connected with this Contest or the prize awarded and all issues and questions concerning the validity, interpretation and enforceability of these official rules and other documents shall be resolved individually, without resort to any form of class action, and exclusively in a court of competent jurisdiction sitting in Middlesex County, Massachusetts. Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred and never shall include consequential, incidental or punitive damages, and in no event attorneys' fees or "costs." Some jurisdictions do not allow the limitation or exclusion of liability for punitive, incidental or consequential damages, so the above may not apply to you.

DATA PRIVACY: Participants agree that personal data, especially name and address, may be processed, stored and otherwise used for the purposes and within the context of the Contest and any other purposes outlined in these Official Rules, in addition to the uses and disclosures provided in the Privacy Policy at https://secure.logmein.com/US/policies/privacy.aspx. These data may also be used by the Sponsor in order to check participants' identity, their postal address and telephone number, or to otherwise verify their eligibility to participate in the Contest and to receive any prize. Participants have a right to access, review, rectify or cancel any personal data held by the Sponsor by writing to Sponsor at the address listed above. If participant's data is not provided or is canceled, participants' Entries will be ineligible.

WARRANTY AND INDEMNITY: Each entrant certifies that their entry is original and that they are the sole and exclusive owner and right holder of the submitted Entry, and that they have the right to submit the Entry in the Contest. Each entrant agrees not to submit any Entry that (1) infringes any third party proprietary, intellectual property, industrial property, personal rights or other rights, including without limitation, copyright, trademark, patent, trade secret or confidentiality obligation; or (2) otherwise violates applicable law in any countries in the world. To the maximum extent permitted by law, each entrant indemnifies and agrees to keep indemnified the Sponsor and Administrator, their parents, subsidiaries, agents, directors, officers, employees, representatives and assigns harmless at all times from and against any liability, claims, demands, losses, damages, costs and expenses resulting from any act, default or omission of the participant and/or a breach of any warranty set forth herein. To the maximum extent permitted by law, each participant indemnifies and agrees to keep indemnified the Sponsor and Administrator, their parents, subsidiaries, agents, directors, officers, employees, representatives and assigns harmless at all times from and against any liability, actions, claims, demands, losses, damages, costs and expenses for or in respect of which the Sponsor will or may become liable by reason of or related or incidental to any act, default or omission by a participant under these Official Rules including without limitation resulting from or in relation to any breach, non-observance, act or omission whether negligent or otherwise, pursuant to these official rules by a participant.

ELIMINATION: Any false information provided within the context of the Contest by any participant concerning identity, postal address, telephone number, ownership of right or non- compliance with these rules or the like may result in the immediate elimination of the participant from the Contest. Sponsor further reserves the right to disqualify any Entry that it believes in its sole and unfettered discretion infringes upon or violates the rights of any third party or otherwise does not comply with these official rules. CAUTION: ANY ATTEMPT BY A CONTESTANT OR ANY OTHER PERSON TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH CONTESTANT TO THE FULLEST EXTENT PERMITTED BY LAW.

INTERNET: Sponsor is not responsible for electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission. Sponsor is not responsible for theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions or limitations of any kind. Sponsor is not responsible for inaccurate transmissions of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any Web site or any combination thereof, except to the extent that any death or personal injury is caused by the negligence of the Sponsor. If for any reason the Internet portion of the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, disruption or termination of the FreeMeUp.com website for any reason or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, Sponsor reserves the right at its sole discretion to immediately cancel, terminate, modify or suspend the Contest. Sponsor reserves the right to select winners from eligible entries received as of the termination date. Sponsor further reserves the right to disqualify any individual who tampers with the entry process. Caution: Any attempt by a contestant to deliberately damage any web site or undermine the legitimate operation of the contest is a violation of criminal and civil laws and should such an attempt be made, Sponsor reserves the right to seek damages from any such contestant to the fullest extent of the law.

If any provision(s) of these Official Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect.
